By accessing or using the Metro Security & Detective Agency ("Metro," "we," "us," or "our") website, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website.

These terms govern website use only. All security, investigation, and protection services are provided under separate written service agreements. In the event of any conflict between these Terms of Service and a signed service agreement, the service agreement shall control.

Description of Services

Metro Security & Detective Agency provides professional security and investigative services, including but not limited to:

• Uniformed security guard patrol for commercial, retail, industrial, and residential properties
• Residential housing security for apartment complexes, HOAs, and gated communities
• Investigative services, including surveillance, background research, and litigation support
• Executive protection for corporate leaders, high-net-worth individuals, and at-risk personnel
• Active shooter and workplace violence prevention training

All services are subject to a separate written service agreement that defines the scope, duration, fees, and specific terms applicable to that engagement. No service shall be deemed to have commenced until a signed agreement is in place.

Information provided on this website, including service descriptions and pricing estimates, is for informational purposes only and does not constitute a binding offer to provide services.

Client Responsibilities

By using our website or engaging our services, you agree to the following:

• Accurate information: You agree to provide accurate, current, and complete information when filling out forms, requesting quotes, or communicating with us. Metro is not liable for any issues arising from inaccurate or incomplete information provided by you.
• Lawful use: You agree not to use our website or services for any unlawful purpose or in violation of any applicable federal, state, or local law.
• No unauthorized access: You agree not to attempt to gain unauthorized access to our systems, interfere with website functionality, or collect information from our website through automated means.
• Site access and cooperation: For contracted services, you agree to provide Metro personnel with reasonable site access, accurate information about your property and operations, and timely cooperation necessary to perform the services.
• Independent decisions: You acknowledge that decisions regarding your security needs, including the scope of services and acceptance of risk, remain your responsibility. Metro's recommendations and assessments are advisory in nature.

Confidentiality

Both parties agree to hold all confidential information in strict confidence. "Confidential information" includes but is not limited to: security protocols, site vulnerabilities, investigation findings, surveillance records, client data, operational procedures, and any information designated as confidential.

Metro may disclose confidential information to:

• Employees and subcontractors with a legitimate need-to-know for service delivery
• Law enforcement or regulatory authorities when required by law, court order, or subpoena
• Legal counsel and professional advisors bound by confidentiality obligations

This confidentiality obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without use of the confidential information; or (d) is required to be disclosed by law.

Limitation of Liability

Disclaimer of Guarantee: Metro Security & Detective Agency provides professional security services with reasonable skill and care consistent with industry standards. HOWEVER, METRO DOES NOT AND CANNOT GUARANTEE THAT ITS SERVICES WILL PREVENT ANY CRIMINAL ACTIVITY, LOSS, INJURY, DAMAGE, OR INCIDENT. Security services reduce risk but cannot eliminate it. No level of security can prevent all potential threats.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METRO SECURITY & DETECTIVE AGENCY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE USE OF THIS WEBSITE OR THE PERFORMANCE OF SERVICES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

Cap on Liability: METRO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES PROVIDED SHALL BE LIMITED TO THE TOTAL FEES PAID BY YOU TO METRO FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE CLAIM. THIS LIMITATION APPLIES EVEN IF METRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

No Liability for Third-Party Conduct: Metro is not liable for the acts or omissions of third parties, including but not limited to criminal actors, trespassers, vandals, or individuals who circumvent security measures.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. This limitation of liability is a fundamental part of these terms and reflects the allocation of risk between the parties.

Indemnification

You agree to indemnify, defend, and hold harmless Metro Security & Detective Agency, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of our website
• Your breach of these Terms of Service
• Your violation of any applicable law or regulation
• Any inaccurate information you provide to us
• Claims arising from your failure to follow service agreements or safety protocols

This indemnification obligation does not apply to claims caused by Metro's gross negligence or willful misconduct as determined by a court of competent jurisdiction.

Intellectual Property

All content on this website — including text, graphics, logos, images, video, design, and code — is the property of Metro Security & Detective Agency or its licensors and is protected by applicable intellectual property laws.

You may view, download, and print pages from this website for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works from, or publicly display any content without our prior written consent.

Nothing in these terms grants you any license or right to use any trademark, logo, or service mark displayed on this website.

Termination

Any dispute arising out of or relating to these terms or your use of our website shall be resolved exclusively in the state or federal courts located in Hamilton County, Ohio. You consent to the personal jurisdiction of these courts and waive any objection based on improper venue or inconvenient forum.

The parties agree that any claims brought under these terms shall be brought on an individual basis only. There shall be no class action, consolidated action, or representative proceeding permitted.

Entire Agreement

These Terms of Service, together with any signed service agreement between you and Metro, constitute the entire agreement between the parties regarding the subject matter hereof. They supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these terms shall not be deemed a waiver of that right or provision.
